Amazon’s recent acquisition of a 12% stake in Rappi, announced this Monday (8), promises to shake up the delivery and technology market in Latin America.
According to lawyer Fernando Canutto, partner at Godke Advogados and an expert in Corporate Law, the operation is not just a strategic investment but also a move that could have significant effects on the competitive landscape.
He explains that Amazon’s entry into one of the region’s leading delivery platforms is likely to draw attention from competition authorities. “This kind of transaction could raise questions in entities like Cade, as it involves major players with strong market power,” says the lawyer.
The assessment also considers regulatory risks. “When companies of this size make strategic moves, there’s always the possibility of deeper scrutiny from authorities. The goal is to verify whether there’s market concentration or practices that could limit competition,” Canutto points out.
Beyond competition concerns, the financial instruments used in the deal also warrant attention. “Convertible notes are common mechanisms in transactions of this nature. They allow the investor to convert the invested amount into equity at a certain point, providing greater flexibility to the parties involved,” highlights the expert.
From a practical standpoint, Amazon’s participation could shift the dynamics of the delivery sector in Brazil and other Latin American countries. “This move is likely to pressure competitors to revise their strategies and increase investments in technology, logistics, and financial services.”
Finally, the expert assesses that competition in the sector will likely intensify in the coming years. “We’re looking at an operation that could redefine the market. The trend suggests that consumers and investors will feel its effects in the short term,” he concludes.
